ChordLab Beta — End User Licence Agreement

This End User Licence Agreement ("Agreement") is a legal agreement between you and Charles-Antoine Pouliot governing your use of the ChordLab beta software and any updates to it (the "Software"). By installing, activating, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

1. Licence grant

Subject to this Agreement, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software for your own music practice, on the number of devices permitted by your licence key. This is a licence, not a sale; we retain ownership of the Software.

2. Beta software

The Software is pre-release beta and is provided for evaluation and testing:

  • It may contain bugs, may be unstable, and may change, break, or be discontinued at any time.
  • Beta licence keys may be time-limited, revoked, or expired at our discretion, after which the Software may enter a read-only state (you can still browse and play back your existing content, but practice, recording, and drilling features may lock).
  • We provide no service-level commitment, uptime guarantee, or support obligation during the beta.
  • Back up anything important. Your libraries are stored locally on your device (see section 8); we are not responsible for lost data.

3. Licence key and device limit (anti-sharing)

Your licence key is issued to you and is bound to your device(s) up to the activation limit associated with the key. You agree not to share, publish, resell, or transfer your key. The Software validates the key online and enforces the device limit; see the Privacy Notice (PRIVACY.md) for exactly what is sent during validation.

4. Restrictions

You may not:

  • copy (except for a reasonable backup), redistribute, sublicense, rent, lease, sell, or otherwise make the Software available to third parties;
  • reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
  • circumvent, disable, or tamper with the licensing, key validation, or device-limit mechanisms;
  • remove or alter any proprietary notices, labels, or credits in the Software.

5. Feedback

If you send us feedback, ideas, bug reports, or suggestions ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate that Feedback into our products without obligation or compensation to you. You are not required to provide Feedback.

6. Ownership and intellectual property

The Software, and all intellectual property rights in it, are and remain the property of Charles-Antoine Pouliot and its licensors. All rights not expressly granted to you are reserved.

7. Third-party components

The Software includes third-party components licensed to us under their own terms, including the JUCE framework and the IBM Plex typefaces. Those components and their licences are listed in THIRD-PARTY-NOTICES.md, which is incorporated into this Agreement by reference. Your use of the Software must comply with those licences.

8. Your content and privacy

Content you create in ChordLab — voicings, progressions, melodies, practice history, and settings — belongs to you and is stored locally on your device. Our handling of licence data is described in the Privacy Notice (PRIVACY.md). By using the Software you acknowledge that notice.

9. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You use the Software at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARLES-ANTOINE POULIOT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE. Because the Software is provided free of charge during the beta, our total aggregate liability arising out of or related to this Agreement will not exceed CAD $50. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Term and termination

This Agreement is effective until terminated. It terminates automatically if you breach it, and we may end the beta or revoke a licence key at any time. On termination you must stop using the Software. Sections 4–10 and 12 survive termination.

12. Governing law

This Agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Quebec, subject to any mandatory consumer-protection rights available to you where you live.

13. Entire agreement and changes

This Agreement, together with the Privacy Notice and Third-Party Notices, is the entire agreement between you and us regarding the Software. We may update this Agreement as the Software evolves; the effective date above will change, and continued use after an update constitutes acceptance.
